1. Introduction

These Terms and Conditions ("Agreement") govern your use of ReefnBid.com ("Services"), a platform operated by ReefBay Inc. dba ReefnBid.com ("ReefnBid," "we," "us," or "our"). By accessing or using the Services, you agree to comply with these terms. If you do not agree, you must discontinue use of the Services.

2. Eligibility

By using ReefnBid, you represent that you are legally capable of entering into a binding contract and are at least 18 years old. You also confirm that you have not been previously suspended or removed from the platform.

3. Account Registration

To participate in auctions or purchase products on ReefnBid, you must create an account. You are responsible for maintaining the confidentiality of your account and password, and you accept responsibility for all activities that occur under your account.

4. Use of the Services

You agree to use ReefnBid for legitimate auction and sale purposes. Any use of automated systems, bots, or third-party software to interfere with bidding or purchasing is strictly prohibited. We reserve the right to terminate or suspend accounts engaging in prohibited activities.

5. Bidding and Payment

By placing a bid on ReefnBid, you are making a legally binding offer to purchase the item. If your bid is successful, you are obligated to complete the transaction by making full payment. Failure to complete payment will result in account suspension or cancellation.

Payments must be made through the accepted methods provided on ReefnBid. You are responsible for any applicable taxes, fees, and shipping costs associated with the transaction.

6. Content Ownership and Rights

All intellectual property on ReefnBid, including images, text, and software, is owned by ReefBay Inc. or its licensors. You may not reproduce, modify, or distribute content from the site without our express written permission.

You grant ReefnBid a non-exclusive, royalty-free, worldwide license to use, reproduce, and display any content or information you provide to us, including product listings and reviews.

ReefnBid has no control over and does not guarantee: the existence, quality, safety, or legality of items advertised; the truth or accuracy of users' content or listings; the ability of sellers to sell items; the ability of buyers to pay for items; or that a buyer or seller will actually complete a transaction or return an item.

7. Prohibited Conduct

You agree not to engage in any unlawful or fraudulent activities while using ReefnBid. This includes:

  • Misrepresentation of products or services.
  • Use of false or stolen information to create an account or complete transactions.
  • Interference with other users’ auctions or transactions.
  • Uploading any content that is defamatory, obscene, or violates third-party rights.

8. Fees and Taxes

ReefnBid may charge fees for certain services, including listing fees, selling commissions, and transaction fees. Any applicable fees will be clearly communicated before you are charged.

You are responsible for any applicable sales tax or VAT in your jurisdiction, and you agree to indemnify ReefnBid from any claims arising from your failure to comply with tax obligations.

9. Shipping and Delivery

Sellers are responsible for ensuring timely shipping of purchased items. ReefnBid may provide shipping services or recommend third-party carriers, but we are not liable for any delays, losses, or damages during transit. Buyers are responsible for inspecting shipments upon delivery and reporting any issues.

10. Returns and Refunds

Refunds are handled directly between the buyer and seller according to the seller's refund policy. In the event of a dispute, ReefnBid may mediate but does not guarantee a resolution. ReefnBid is not liable for any losses or damages arising from transactions between users.

11. Holds and Restricted Funds

ReefnBid may withhold or restrict funds in certain circumstances, such as disputes or suspected fraudulent activity. We may also hold funds in escrow for large transactions until both parties confirm delivery and satisfaction.

12. Disclaimer of Warranties

ReefnBid provides its Services on an "as-is" and "as available" basis. We make no warranties or representations about the accuracy, reliability, or availability of the platform. ReefnBid disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the fullest extent permitted by law, ReefnBid shall not be liable for any indirect, incidental, or consequential damages arising from the use of our Services. Our total liability to any user shall not exceed the amount paid to us by that user in the 12 months preceding the claim.

14. Release

You agree to release ReefBay Inc., its affiliates, subsidiaries, officers, directors, employees, and agents from any claims or damages arising out of disputes with other users of the platform. This release applies to both known and unknown claims.

15. Indemnity

You agree to indemnify and hold ReefBay Inc. and its affiliates, subsidiaries, officers, directors, employees, and agents harmless from any claims or demands arising from your use of the Services, violation of this Agreement, or infringement of any third-party rights.

16. Legal Disputes

Any claims or disputes between you and ReefBay Inc. arising out of your use of the Services will be governed by the laws of the State of Delaware, without regard to its conflict of law principles.

A. Agreement to Arbitrate

You and ReefBay Inc. agree that any dispute will be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (AAA). Both parties waive their right to a jury trial or to participate in a class action.

B. Small Claims Exception

You may bring individual claims in small claims court instead of arbitration for disputes within the court's jurisdiction.

C. Arbitration Procedures

Arbitration will be conducted under AAA rules. If the claim is for $10,000 or less, ReefBay Inc. will cover all administrative and arbitrator fees unless the arbitrator finds the claim to be frivolous.

D. Opt-Out Procedure

You may opt out of arbitration by sending a written notice to ReefBay Inc. within 30 days of accepting these terms. If you opt out, you agree that any disputes will be resolved exclusively in Delaware courts.

17. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue to apply.

18. Modifications

ReefBay Inc. reserves the right to modify these terms at any time by posting updated terms on ReefnBid.com. Continued use of the Services constitutes acceptance of the revised terms.

19. Termination

ReefBay Inc. reserves the right to terminate or suspend any user’s access to the Services for violating these terms or engaging in prohibited conduct.
